NOTICE OF PUBLIC HEARING

Notice is hereby given that a public hearing will be conducted telephonically by the Vermont Economic Development Authority (“VEDA”) on Tuesday, October 20, 2026, at 3:30 p.m. regarding the proposed issuance of up to $8,050,000 stated principal amount of its tax-exempt revenue bonds (the “Bonds”) pursuant to Subchapter 4 of Title 10, V.S.A., Chapter 12, which bonds will not constitute a debt or pledge of the faith or credit of the State of Vermont or VEDA and are intended to be treated as “qualified 501(c)(3) bonds” pursuant to Section 145 of the Internal Revenue Code of 1986, as amended, for the financing and refinancing of educational facilities (collectively, the “Project”) owned and operated by Thetford Academy (together with any affiliates, the “Borrower”), located at 304 Academy Road, Thetford Center, Vermont (the “Campus”), which Project includes (1) the refinancing of VEDA’s Revenue Bond, Thetford Academy Issue, Series 2009, which financed (a) the expansion of Anderson Hall, including: (i) a gym with two regulation basketball courts and retractable bleachers, seating capacity for 800, locker rooms, a training room, physical education offices and fitness space; (ii) renovation of the upper floor area into a cafeteria; (iii) a new cafeteria/student center for food service; and (iv) a central heating system; (b) renovations to the Science Building to bring this building up to code with proper insulation, ventilation and heating systems, including a connecting hallway to all classrooms; and (c) the refinancing of certain debt obligations theretofore incurred by the Borrower to finance (i) renovations to Anderson Hall for safety code requirements and a new elevator; (ii) roof and classroom improvements to the Science Building; (iii) a vehicular traffic realignment project to relocate parking areas and construct a landscaped courtyard; (iv) renovations to the Science Building corridors and classrooms; (v) roof and structural improvements, renovations, replacements and updates to various other Campus buildings; and (vi) various capital improvements and renovations on the Campus (collectively, the “2009 Project”); (2) the refinancing the currently outstanding principal amount of a loan from Mascoma Savings Bank that provided financing for additional costs of the 2009 Project; and (3) the financing of (i) the construction of a 9,300 square foot addition to the Vaughan Alumni Gymnasium, generally known as the Thetford Academy Commons, which will serve as a café and multipurpose space, including a new kitchen, and will be connected internally to Anderson Hall, including the gym and theater; and (ii) exterior work that will include the removal of a portion of the internal Campus roadway and the construction of a new concrete patio and walkways on the Campus.
